Terms of Service

Last updated October 26, 2026

These terms govern your use of planniz.app and the Planniz Studio application at studio.planniz.app (the "Service"), provided by Auviel Inc. ("Planniz", "we", "us"). By accessing or using the Service you agree to these terms. If you do not agree, do not use the Service.

1. The Service

Planniz is a tool for planning, scheduling and publishing social media content to accounts you connect, and for viewing basic performance information. The Service is currently in early access and available by invitation. Features may change, and we may modify or discontinue parts of the Service.

2. Accounts

You must be at least 18 and able to form a binding contract. Keep your sign-in credentials confidential and tell us promptly if you suspect unauthorised access. You are responsible for activity under your account and for the accounts you connect.

3. Connected social accounts

You may connect only accounts you own or are authorised to manage. Connecting an account authorises Planniz to publish and retrieve data on your behalf through the network's official interface. Your use of each network remains subject to that network's own terms and policies, and you are responsible for complying with them. Networks may change or limit access at any time, and we are not responsible for outages, rate limits, or policy changes outside our control. You can disconnect an account at any time.

4. Your content

You keep ownership of the content you create or upload. You grant us a limited, non-exclusive licence to store, process and transmit that content solely to operate the Service for you, including sending it to the networks you choose. You confirm that you have the rights needed to post your content and that it does not violate any law or third-party rights.

5. Acceptable use

You agree not to use the Service to:

We may remove content or suspend access if we reasonably believe these rules are broken or to protect the Service or others.

6. Fees

Early access is currently provided without charge. If we introduce paid plans we will tell you beforehand, and you will not be charged without agreeing to the new terms.

7. Intellectual property

The Service, including its software, design and the Planniz name and logo, is owned by Auviel Inc. or its licensors. Parts of the underlying software are open source and are used under their respective licences. These terms give you no rights in our trademarks.

8. Privacy

Our Privacy Policy explains how we handle personal information and forms part of these terms.

9. Suspension and termination

You may stop using the Service at any time and ask us to delete your data as described on our data deletion page. We may suspend or end your access at any time, including if you breach these terms. Sections that by their nature should continue, such as ownership, disclaimers and liability limits, survive termination.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that posts will be published at a particular time, that the Service will be uninterrupted or error free, or that third-party networks will remain available.

11. Limitation of liability

To the fullest extent permitted by law, Planniz and Auviel Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and CAD $100. Nothing in these terms limits liability that cannot be limited by law.

12. Indemnity

You will indemnify and hold Planniz and Auviel Inc. harmless from claims, losses and expenses (including reasonable legal fees) arising from your content, your use of the Service in breach of these terms, or your violation of any law or third-party rights.

13. Changes

We may update these terms. We will post the new version here with a new "last updated" date and, for material changes, notify you. Continuing to use the Service after changes take effect means you accept them.

14. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts in Ontario have exclusive jurisdiction, except where mandatory consumer protections give you the right to bring a claim elsewhere.
